Bankruptcy: Germany-USA

An Austrian based owner of two big sawmill chains in the US faced financial risks, which made insolvency procedures inevitable. One of Interact Law’s US member firms advised the client in all aspects of the bankruptcy process, which lasted several years and required advice on a regular basis. 

Due diligence: UK-Germany

A client in the UK entered an M&A deal with a big German computer distribution company. Interact Law’s German member entered for advice and negotiations with the vendor since the due diligence mainly referred to German corporate and labor law, and the M&A contract was constructed under German law.  

Arbitration: Germany-USA

A German wood-chipper manufacturer was involved as a defendant in a US arbitration case about dealer’s agreements. The German member of Interact Law involved a US member firm highly specialized in arbitration work, to advise and represent the client as lawyers in front of the arbitration court.  

Commercial law: Germany-Central European Countries

The biggest IT distributor in the world asked to assist in finding local law firms in Eastern Europe countries for permanent advisory work in any aspects required. Germany could help the client and refer it to Central Europe, covering several of the respective countries named by the client.  

Retail law: Italy-Spain

A leading Italian fashion company (a client of our Italian member) needed legal assistance in connection with the opening of retail shops in two Spanish famous holiday locations. The matter is currently being handled by our member in Spain.  

Contracts: HongKong – India

Drafting a shareholder agreement and employment agreements concerning a transaction between US and Indian partner.  

Litigation: Spain – India

Litigation between a Spanish company and an Indian Company  

Reorganization: UK – Italy

Preliminary advice about corporate reorganization due to insolvency  

Software: The Netherlands – Spain and Portugal

All legal advice of an international software alliance; software services: enforcement and non-enforcement. Ongoing.   

Privacy: USA – Europe

A USA-based tech company needs to apply European privacy law in all countries where they have subsidiaries. Ongoing advice and legal assistance in several European countries.    

NDA: Portugal – Germany

Legal assistance on a review of a non-disclosure agreement.   

Corporate law: Portugal – Greece  

Incorporation of a Private Company and drafting an employment agreement and a memo on employment matters.  

M&A: UK-USA

Preparation for filings in the U.S. relating to the acquisition of a public company equity.

Company secretarial services. Editing a new services agreement. Advice on changing the Director of the Company, termination of employment agreements, and local customers’ insolvency procedures.  

IT law: India-US and Italy 

We referred a tech-based IT client to US partners where we have worked the venture together that includes India, US and Italy  

Corporate law: US-India 

We were referred a US based IT Company whom we helped in doing the regulatory compliances, structuring and transaction documentation drafting to enter the Indian markets along with its JV partner in India. 

Telecom: India-Philippines and more 

We referred a telecom service provider Canadian company interested in expanding in various jurisdictions to our partners located in Phillipines and other jurisdictions are currently being planned recently.
